Signature Mismatch in Physical Share Certificates: How to Resolve It

Your signature can change over the years. The specimen held in an old share folio may not.

That difference can create a problem when you request dematerialisation or another investor service. A signature mismatch does not automatically mean that ownership has been lost, but it may require verification before the request can proceed.

The first step is to understand what the company’s Registrar and Transfer Agent, or RTA, has identified.

Why does a mismatch happen?

A signature recorded decades ago may differ from the one you use today. The RTA may also hold an incomplete or unavailable specimen.

The issue generally concerns the signature in the folio records. Trying repeatedly to imitate an old signature is unlikely to resolve the underlying record problem.

Ask the RTA what needs to be verified or updated.

Minor and major mismatches follow different processes

SEBI’s investor guidance distinguishes minor signature differences from major mismatches.

For a minor mismatch, the prescribed process includes investor communication and an objection period.

A major mismatch, or an unavailable specimen, may require the investor to update the signature using the applicable verification route.

The RTA should identify the relevant process. Do not assume that every mismatch needs the same documents.

How can the signature be updated?

SEBI’s guidance describes a route using Form ISR-1 to register or update the specimen signature, supported by banker attestation through Form ISR-2.

Supporting bank evidence may include an original cancelled cheque bearing the holder’s printed name or a self-attested bank statement or passbook copy, as applicable.

The guidance also describes an in-person route at the RTA’s office, with signing before authorised personnel and identity verification.

Confirm the current forms and submission instructions with your specific RTA before arranging documents.

Prepare a consistent set of records

Keep the relevant share certificates, folio number, PAN, bank evidence and RTA correspondence available.

Check whether the holder’s name, holding order and other details agree across the records. A name discrepancy, deceased holder or change in ownership may require a separate process.

A signature update alone will not necessarily resolve those issues.

For joint holdings, confirm which holders need to complete the verification and how their signatures should appear.

Resume the demat process after verification

Once the necessary record update is completed, coordinate with your Depository Participant on the dematerialisation request and required documents.

Updating a signature and converting physical shares into demat form are connected steps, but they are separate processes.

Keep acknowledgement numbers and copies of submissions so follow-ups can refer to the same request.

Avoid preventable delays

Do not alter the share certificate or send documents to an unverified intermediary.

Use the company’s official investor-relations information to identify its RTA. Confirm instructions before dispatching originals, and retain copies for your records.

If the certificates are lost or the registered holder has passed away, tell the RTA at the start. Replacement or transmission requirements may apply.
